Public Offer
1. General Provisions
This document is a public offer by Individual Entrepreneur Orest Mykolaiovych Kostiuk (ФОП Костюк Орест Миколайович; the “Provider”) to enter into an agreement for use of the Invoicing digital service with an individual or legal entity that accepts this Offer (the “User”).
The Service is available at invoice.bitbrothers.dev. The Ukrainian version of this Offer is legally controlling. The English version is its translation.
2. Definitions
• Service means the Invoicing web application for maintaining customer records and creating, storing, viewing, and sending invoices.
• User means an individual or legal entity that has registered an account or actually uses the Service.
• Invoice means a document created by the User containing issuer and customer data, line items, quantities, prices, currency, tax, dates, and other information determined by the User.
• Customer means the User's counterparty or Invoice recipient whose data the User enters into the Service.
• Plan means a set of Service features, access level, and possible limits described on the /pricing page.
• Paid Feature means a feature or extended level of access available under a paid Plan.
3. Subject of the Agreement
The Provider gives the User access to the digital Service to maintain customer data; create line-item Invoices in multiple currencies; configure issuer and bank details globally or for a particular customer; generate and view PDFs; prepare Invoices for printing; and send Invoices by e-mail.
The Service supports English and Ukrainian interfaces and English, Ukrainian, or bilingual Invoice output. The specific set of available features is determined by the current version of the Service and the /pricing page.
4. Acceptance of the Offer
Under Articles 638, 641, and 642 of the Civil Code of Ukraine, this Offer contains the terms of the agreement. For the free Plan, account registration or actual use of the Service constitutes full and unconditional acceptance. For paid services, successful payment for the selected Plan or Paid Feature constitutes full and unconditional acceptance when such services become available for purchase.
By accepting, the User confirms that the User has the required legal capacity and authority, has read this Offer, the /pricing page, and the Privacy Policy, understands them, and agrees to comply with them. The agreement is concluded electronically without a paper copy.
5. Plans
The Free plan is available now. The Provider may introduce paid Plans in the future. The current feature set, availability, and Plan terms are published at invoice.bitbrothers.dev/pricing and may also be displayed in the Service interface.
If a future paid Plan has no published price and checkout option, it is not available for purchase. The Provider may change Plan contents and terms prospectively, but such changes do not retroactively alter a paid period or access already purchased unless expressly agreed with the User or required by law.
6. Price and Payment
The price of a paid Plan or Paid Feature will be stated in Ukrainian hryvnias and shown to the User before payment confirmation together with the billing period, included access, and other material purchase terms.
Payment will be processed through the payment provider identified at checkout at the time of payment. A payment will be successful after the provider confirms it and the corresponding status appears in the Service. At present, no paid Plan is available for purchase unless expressly published on /pricing.
7. Refunds
The User may request a refund before actually using the purchased Paid Feature. To do so, the User must write to kostiuk.orest.m@gmail.com from the account e-mail address and provide the date, amount, purchased Plan or feature, and any available payment identifier.
The request is reviewed on business days within 3 business days. If approved, the refund is made through the payment provider to the same payment method used for payment; the actual settlement time depends on the provider, bank, and payment system.
After actual use of a Paid Feature, refund eligibility and amount are determined in light of the access already provided, the circumstances, and Ukrainian law. This clause does not restrict consumer rights that cannot lawfully be restricted by contract.
8. Account and User Obligations
The User must provide accurate data, protect the password, refrain from sharing access with unauthorized persons, and report suspected account compromise.
The User independently verifies customer data, issuer and bank details, currency, tax rate, dates, line items, and e-mail addresses. The User must have all rights and lawful grounds required to enter and process data added to the Service.
9. Invoice Content and User Responsibility
The Service is a technical tool for preparing and sending Invoices. The User is solely responsible for the content, accuracy, completeness, and currency of every Invoice; the correctness of calculations, taxes, details, and statuses; and compliance with the agreement with the Customer and all applicable accounting, tax, and other laws.
The Service is not an accountant, tax adviser, lawyer, or payment institution. It does not verify the legal or tax status of an Invoice and does not guarantee that a created document satisfies special requirements of a particular jurisdiction or the User's activity.
The User independently determines whether an Invoice is a primary, accounting, tax, or otherwise legally significant document and obtains qualified professional advice when needed.
10. Prohibited Conduct
The User must not bypass authentication, Plan limits, or security measures; interfere with the Service; conduct attacks, excessive automated load, or unauthorized scanning; access another person's account or data; enter data without a lawful basis; create deceptive or unlawful documents; or use the Service for fraud, spam, malware, infringement of privacy or intellectual property, or any other unlawful activity.
11. Availability, Changes, and Suspension
The Service is provided “as is” and “as available” to the extent permitted by law. The Provider takes reasonable measures to operate the Service but does not guarantee uninterrupted or error-free availability, delivery of every e-mail, compatibility with every device, or that an Invoice will meet the User's individual requirements.
The Provider may change, update, or temporarily limit features for maintenance, security, error correction, or product development. Account access may be suspended where there is a reasonable suspicion of abuse, violation of this Offer, a threat to the Service, or a legal requirement.
12. Intellectual Property
Rights in the Service's software, design, name, and other elements belong to the Provider or the relevant rights holders. This Offer grants the User only a limited right to use the Service features for their intended purpose.
The User retains rights in the User's data, text, logos, and documents and grants the Provider the right to process them technically only to the extent necessary to operate the selected features.
13. Liability
The parties are liable for breach under Ukrainian law. The User is responsible for the User's Customer data, Invoice content, the lawfulness of creating and sending Invoices, tax and accounting correctness, and the acts of persons to whom the User has granted account access.
To the extent permitted by law, the Provider is not liable for indirect loss, lost profit, decisions made based on an Invoice, errors in User data, tax or legal consequences of the User's activity, non-delivery by an external mail service, or the unavailability of external networks and systems. This clause does not exclude liability that the law expressly prohibits excluding.
14. Requests, Complaints, and Disputes
Requests and complaints concerning the Service must be sent to kostiuk.orest.m@gmail.com. The request should identify the account e-mail, the relevant Invoice number where applicable, the expected and actual result, and other information needed to investigate. Requests are handled on business days within 3 business days.
The parties first attempt to resolve disputes through negotiation. If that is not possible, the dispute is resolved under Ukrainian law.
15. Term, Amendments, and Provider Details
This Offer takes effect when published. The Provider may amend it by publishing the current version on this page. Continued use after an amendment takes effect constitutes acceptance. A User who does not agree must stop using the Service.
